These Terms of Use govern your access to and use of CiaoTutor. Please read them carefully. By creating an account or using the service, you agree to these terms.

CiaoTutor ("CiaoTutor", "we", "us", or "our") is operated by MNCN Labs. "You" means the person using the service.

1. Acceptance of these terms

By accessing or using CiaoTutor, you agree to be bound by these Terms of Use and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the service.

2. The service

CiaoTutor is a voice-first Italian language learning service. You hold spoken conversations with Elena, an artificial intelligence tutor, receive corrections and pronunciation feedback, and get exercises and progress tracking derived from your sessions. Using the service requires a microphone and an internet connection. We may add, change, or remove features over time.

3. Eligibility and accounts

You must be at least 16 years old to use CiaoTutor. By using the service, you represent that you meet this requirement and have the legal capacity to enter into these terms.

You are responsible for the information you provide, for keeping your login credentials secure, and for all activity under your account. Accounts are for a single person and may not be shared. Notify us promptly at support@ciaotutor.com if you suspect unauthorized use.

4. Subscriptions, trials, and payment

CiaoTutor offers a free trial and paid subscription plans, currently Pratica and Maestro, available on monthly or annual billing, as well as a one-time Session Pack that adds sessions that do not expire. Current prices and plan limits are shown on our pricing page. Prices are in euros and may not include taxes, which are added where applicable.

The free trial gives you a limited number of full sessions and does not require a payment card. Paid plans include a monthly allowance of sessions; once the allowance is used, additional sessions draw from any Session Pack credits you hold.

Recurring billing. Paid subscriptions renew automatically at the end of each billing period until you cancel. By subscribing, you authorize us and our payment processor, Stripe, to charge your payment method on each renewal at the then-current price. We will give you reasonable notice of any price change before it takes effect.

5. Cancellation and refunds

You can cancel your subscription at any time through the billing portal in your account. Cancellation stops future renewals; you keep access until the end of the period you have already paid for. Session Pack purchases are one-time and non-recurring.

Except where required by law, payments are non-refundable and there are no refunds for partial billing periods or unused sessions. If you are a consumer in the European Union or the United Kingdom, you may have a statutory right of withdrawal within 14 days of purchase; however, by starting to use the service during that period you acknowledge that you may lose that right once the service has been fully performed, to the extent permitted by law. Nothing in this section limits any non-waivable statutory refund or cancellation rights you have as a consumer.

6. Acceptable use

You agree not to:

• use the service for any unlawful, harmful, or abusive purpose;
• attempt to circumvent usage limits, quotas, or access controls, or create accounts to evade restrictions;
• reverse engineer, decompile, scrape, or attempt to extract the underlying models, prompts, or source code, except to the extent this restriction is prohibited by law;
• resell, sublicense, or commercially exploit the service without our permission;
• interfere with or disrupt the service, its security, or its infrastructure;
• submit content that is illegal, infringing, or that violates the rights of others.

We may suspend or terminate access for conduct that violates these terms or that we reasonably believe is harmful to the service or other users.

8. Your content and our license

You retain ownership of the content you provide, including what you say and type during sessions ("Your Content"). You grant us a worldwide, non-exclusive, royalty-free license to host, process, and use Your Content as necessary to operate, secure, and provide the service to you, including generating transcripts, feedback, and exercises, and providing your session history to personalize future sessions. This license ends when we delete Your Content, subject to the retention terms in our Privacy Policy.

9. Intellectual property

The service, including the CiaoTutor name and logo, Elena, the software, design, content, and all related intellectual property, is owned by MNCN Labs or its licensors and is protected by law. We grant you a limited, personal, non-transferable, non-exclusive, revocable license to use the service for your own language learning while these terms are in effect. All rights not expressly granted are reserved.

10. Third-party services

The service relies on third-party providers, including for authentication, payments, and AI processing, as described in our Privacy Policy. Your use of the service may also be subject to those providers' terms. We are not responsible for third-party services we do not control.

11. Disclaimers

To the maximum extent permitted by law, the service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, secure, or that it will meet your specific requirements or produce particular learning outcomes. This section does not exclude any warranty or guarantee that cannot be excluded under applicable consumer law.

12. Limitation of liability

To the maximum extent permitted by law, MNCN Labs and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill, arising out of or related to your use of the service. To the maximum extent permitted by law, our total aggregate liability for any claim arising out of or related to the service will not exceed the greater of the amount you paid us in the twelve months before the event giving rise to the claim, or fifty euros. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you, and nothing here limits liability that cannot be limited by law.

13. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless MNCN Labs from any claims, damages, and expenses, including reasonable legal fees, arising from your misuse of the service or your violation of these terms or applicable law.

14. Termination

You may stop using the service and delete your account at any time. We may suspend or terminate your access if you breach these terms, if required by law, or if we discontinue the service. On termination, your right to use the service ends. Sections that by their nature should survive, including intellectual property, disclaimers, limitation of liability, and governing law, will survive termination.

15. Governing law and disputes

These terms are governed by the laws of the Federative Republic of Brazil, without regard to conflict-of-law rules. Subject to any mandatory rights you have as a consumer to bring proceedings in your country of residence, you agree that the courts of the jurisdiction where MNCN Labs is established will have jurisdiction over any dispute arising out of or relating to these terms or the service. Nothing in this section deprives you of the protection of mandatory consumer-protection laws of your country of residence.

16. Consumer rights

If you use CiaoTutor as a consumer, you benefit from mandatory protections under the consumer laws that apply to you, including the Brazilian Consumer Protection Code (Código de Defesa do Consumidor) and, where applicable, consumer law in the European Union and the United Kingdom. Nothing in these terms limits or excludes rights that cannot be limited or excluded under those laws.

17. Changes to these terms

We may update these terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, notify you. Your continued use of the service after the changes take effect means you accept the updated terms. If you do not agree, you should stop using the service.
